This End User License Agreement (“Agreement”) governs use of Whiteboard Invoice Sync (the
“Software”), a tool made by Whiteboard (“Whiteboard”, “we”, “us”) that connects to QuickBooks Online
to maintain Whiteboard’s own invoicing records.
1. Internal software
The Software is internal software. It is used solely by Whiteboard, on Whiteboard’s own systems,
against Whiteboard’s own QuickBooks Online company. It is not offered for sale, subscription,
download, or distribution, and it is not multi-tenant. There are no customer accounts in it and no
third party is granted access through it.
This Agreement is published because Intuit requires every application that connects to the
QuickBooks Online API to publish license terms, including applications that are used only by the
business that built them.
2. License
To the extent any person is ever authorized in writing by Whiteboard to use the Software,
Whiteboard grants that person a limited, non-exclusive, non-transferable, revocable license to use it
solely for Whiteboard’s internal business purposes and only in the manner Whiteboard directs. No
other rights are granted.
3. Restrictions
Except as Whiteboard expressly permits in writing, you may not:
- copy, distribute, sublicense, sell, rent, or otherwise make the Software available to others;
- modify, adapt, translate, or create derivative works from the Software;
- reverse engineer, decompile, or disassemble the Software, except where that restriction is
prohibited by law; - use the Software to access any accounting data other than Whiteboard’s own;
- remove or obscure any proprietary notice;
- use the Software in violation of any applicable law or of Intuit’s terms.
4. Third-party services
The Software connects to QuickBooks Online, a service operated by Intuit Inc. Intuit is not a
party to this Agreement. Your use of QuickBooks Online is governed by Intuit’s own terms of service
and privacy policy. Whiteboard does not control Intuit’s services and is not responsible for their
availability, accuracy, or changes to them. Authorization is performed through Intuit’s OAuth 2.0
flow, and access can be revoked at any time from the Intuit account settings for the connected
company.
5. Data and privacy
The Software reads customers, products and services, and invoices from Whiteboard’s QuickBooks
Online company, and writes line items to Whiteboard’s own invoices. It does not access bank feeds,
stored payment methods, or payroll, and it does not send invoices or move money. How information is
handled is described in our Privacy Policy,
which forms part of this Agreement.
6. Ownership
The Software is licensed, not sold. Whiteboard retains all right, title, and interest in the
Software, including all intellectual property rights. Feedback you provide may be used by Whiteboard
without obligation to you.
7. No warranty
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Whiteboard does not warrant that the Software will
be uninterrupted or error free, or that it will produce accurate accounting results. The Software
assists with bookkeeping tasks and does not provide accounting, tax, or legal advice. All records it
produces should be reviewed before they are relied upon or sent to anyone.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHITEBOARD WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA,
OR GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN
IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHITEBOARD’S TOTAL LIABILITY ARISING OUT OF OR RELATING
TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply.
9. Term and termination
This Agreement applies for as long as the Software is used. Whiteboard may suspend or terminate
any license under it at any time, with or without notice. On termination, use of the Software must
stop and any authorization to Whiteboard’s QuickBooks Online company must be revoked. Sections 3, 6,
7, 8, 10, and 11 survive termination.
10. Governing law
This Agreement is governed by the laws of the State of Illinois, United States, without regard to
its conflict of laws rules. The state and federal courts located in Illinois will have exclusive
jurisdiction over any dispute arising out of or relating to this Agreement.
11. General
This Agreement is the entire agreement regarding the Software and supersedes any prior
understanding on that subject. If any provision is held unenforceable, the rest remains in effect. A
failure to enforce a provision is not a waiver of it. Whiteboard may update this Agreement by posting
a revised version on this page with a new effective date.
